Exhibitor Terms & Conditions

Thank you for participating in the Wasatch Fly Tying & Fly Fishing Expo ("Expo"). The Expo is presented by Utah chapters of Trout Unlimited and Fly Fishers International and is operated primarily by volunteers to promote fly fishing, conservation, education, and outdoor recreation.

By submitting a Vendor Registration, the Exhibitor agrees to these Terms & Conditions.

1. Acceptance of These Terms

By registering for the Expo, the Exhibitor agrees to comply with:

  • These Terms & Conditions
  • All published Exhibitor Information
  • All instructions issued by Expo Management
  • Rules established by the Mountain America Expo Center
  • Applicable federal, state, county, and local laws

Expo Management reserves the right to interpret these Terms and make reasonable decisions necessary to ensure a safe, professional, and successful event.

2. Eligibility

Expo Management reserves the right to determine whether an applicant or exhibit is appropriate for the Expo.

Products and services should be consistent with the mission of promoting fly fishing, conservation, outdoor recreation, education, and related industries.

Applications may be declined if Expo Management determines that participation would not be in the best interests of the Expo.

3. Booth Assignment

Booth assignments are made by Expo Management.

Although reasonable efforts will be made to honor exhibitor preferences, Expo Management reserves the right to:

  • assign booths
  • relocate booths
  • modify floor layouts
  • consolidate or expand exhibit areas

when necessary for the overall success of the Expo.

Booth assignments are final.

4. Exhibitor Responsibilities

Each Exhibitor agrees to:

  • occupy the assigned booth during all published Expo hours;
  • complete booth setup before the Expo opens;
  • remove exhibits during designated move-out times;
  • maintain a professional, safe, and courteous exhibit;
  • conduct business in a manner consistent with the family-friendly nature of the Expo;
  • comply with all applicable safety regulations.

Exhibitors are responsible for the actions of their employees, volunteers, representatives, and guests.

5. Products and Services

Only products and services described in the approved Vendor Registration may be displayed or sold.

Expo Management may require removal of merchandise, displays, demonstrations, or activities deemed:

  • unsafe,
  • disruptive,
  • offensive,
  • misleading,
  • or inconsistent with the character of the Expo.

The Expo does not grant exclusive rights to any product, manufacturer, distributor, or service.

6. Licenses, Taxes, and Compliance

Exhibitors are solely responsible for:

  • obtaining all required business licenses;
  • collecting and remitting sales taxes;
  • complying with Utah laws;
  • complying with health and safety regulations;
  • obtaining any permits required for demonstrations or sales.

7. Booth Personnel

Only registered booth workers wearing Expo credentials may enter the exhibit hall during setup, show hours, and teardown.

Credentials are issued for individual use and may not be transferred.

8. Sales and Demonstrations

Sales are encouraged.

Demonstrations must remain within the assigned booth space and may not:

  • obstruct aisles,
  • interfere with neighboring exhibitors,
  • create excessive noise,
  • or present safety hazards.

Expo Management may require demonstrations to be modified or discontinued.

9. Booth Sharing and Subleasing

Booth space may not be assigned, shared, or subleased without prior written approval from Expo Management.

10. Insurance and Liability

Each Exhibitor is responsible for protecting its own:

  • merchandise,
  • equipment,
  • displays,
  • cash,
  • computers,
  • and personal property.

While reasonable overnight security may be provided, the Wasatch Fly Tying & Fly Fishing Expo, Trout Unlimited, Fly Fishers International, the Mountain America Expo Center, sponsors, and volunteers assume no responsibility for loss, theft, or damage.

Exhibitors are encouraged to maintain appropriate business liability and property insurance.

11. Indemnification

The Exhibitor agrees to indemnify and hold harmless:

  • Wasatch Fly Tying & Fly Fishing Expo
  • Trout Unlimited
  • Fly Fishers International
  • Mountain America Expo Center
  • sponsors
  • volunteers
  • officers
  • directors
  • employees

from claims arising out of the Exhibitor's participation, negligence, products, services, employees, or booth operations.

This obligation does not apply to claims resulting solely from the negligence or willful misconduct of the indemnified parties.

12. Photography and Media

The Expo may photograph or record exhibits, booths, products, demonstrations, and attendees.

The Exhibitor grants the Expo permission to use these images for:

  • future Expo promotion;
  • websites;
  • newsletters;
  • brochures;
  • social media;
  • educational materials.

No compensation will be provided.

13. Cancellation by Exhibitor

Written cancellation requests must be submitted to Expo Management.

Refunds, if any, will be determined according to the published cancellation schedule for that year's Expo.

Failure to attend does not relieve the Exhibitor of financial obligations accepted during registration.

14. Cancellation or Postponement of the Expo

If circumstances beyond the reasonable control of Expo Management make it impossible or impractical to hold the Expo—including severe weather, natural disasters, public health emergencies, acts of terrorism, labor disruptions, government orders, or other force majeure events—Expo Management may postpone, relocate, modify, or cancel the Expo.

Expo Management's liability shall be limited to refunding amounts actually received from the Exhibitor, less any non-recoverable expenses already incurred on behalf of the event, if applicable.

15. Payment

Exhibitors agree to pay all registration fees according to the payment option selected during registration.

Failure to make timely payment may result in:

  • cancellation of booth space,
  • reassignment of the booth,
  • or removal from the Expo.

Returned checks may be subject to a processing fee.

16. Abandoned Booths

Booths not occupied by the published opening time may be reassigned without refund unless prior arrangements have been approved by Expo Management.

17. Damage to the Facility

Exhibitors are responsible for damage caused by themselves, their representatives, contractors, or guests.

Any repair costs assessed by the facility may be charged to the Exhibitor.

18. Fire, Safety, and Building Regulations

Exhibitors must comply with all:

  • fire codes,
  • electrical regulations,
  • facility rules,
  • emergency procedures,
  • and safety requirements.

Nothing may block aisles, exits, or emergency equipment.

19. Compliance with Expo Decisions

Expo Management's decisions regarding:

  • booth assignments,
  • exhibitor eligibility,
  • display standards,
  • interpretation of these Terms,
  • and operation of the Expo

are final.

20. Limitation of Liability

To the fullest extent permitted by law, the total liability of the Wasatch Fly Tying & Fly Fishing Expo arising from participation in the Expo shall not exceed the registration fees actually paid by the Exhibitor.

The Expo shall not be liable for indirect, incidental, consequential, or lost-profit damages.

21. Governing Law

These Terms & Conditions are governed by the laws of the State of Utah.

Any legal action arising under these Terms shall be brought in a court of competent jurisdiction located in Utah.

22. Entire Agreement

These Terms & Conditions, together with the Exhibitor Registration, published Exhibitor Information, and any written communications issued by Expo Management, constitute the complete agreement between the Exhibitor and the Expo.
